TERMS OF USE

Welcome to Bilingual Birdies, a bilingual education company for young children. Please read these Terms of Use (the “Agreement” or “Terms”) carefully, as they contain the legal terms and conditions that govern your use and access of the website, bilingualbirdies.com (the “Site”). This Agreement governs your use of Bilingual Birdies and constitutes a legally-binding agreement between each user (“you” or “your”) and Bilingual Birdies, LLC (“we,” “us,” “our,” or the “Company”; collectively with “you” or “your,” the “parties”). By simply accessing or using Bilingual Birdies, including just browsing our Site, you are agreeing to our Terms, so please read carefully! If you do not agree to these Terms or any other policies, including our Privacy Policy, do not access or use Bilingual Birdies. Your Account with Bilingual Birdies

Creating an Account

On Bilingual Birdies, we allow various Providers to post individual classes, semester-long classes, camps, and other children’s activities (each an “Activity” and collectively “Activities”) for you and your child to enjoy. You don’t need to create an account on Bilingual Birdies in order to browse through our Activities. However, if you want to sign-up for an Activity through Bilingual Birdies, you will need to create an account.
Bilingual Birdies powers Providers registration, check-out and payments systems. To book a class, you will be adding your account information to the Provider’s contacts as well as to Bilingual Birdies. To place an order on a provider’s site who we partner with, you will be adding your name, email, child’s name, birthdate, address, primary phone, credit card as well as other information requested by the Provider. This information is stored in the Bilingual Birdies database. If you use the same account to buy class at another provider within the Bilingual Birdies eco-system, all information may be accessible with the other provider (except your credit card).
In order to create an account for Bilingual Birdies you’ll need to provide us with your email address, phone number, and username. You may also be required to provide your child’s name and birthday, as well as your address and billing information for any payments. By creating an account, you’re agreeing to a few common sense rules and acknowledgements:

  • Be honest with us. By creating an account, you’re agreeing to provide accurate and complete information about yourself. It’s not OK to use false information or impersonate another person or company through your account.
  • Be respectful. We’re trying to build a supportive community. Therefore, we ask that you respect others in the community. This will allow our community to continue to flourish. If we find out that you are negatively impacting the experience of fellow Bilingual Birdies users, we reserve the right to terminate your account.
  • You’re responsible for your account. You’re solely responsible for any activity on your account. Your accounts are not transferable. If you’re sharing an account with other people (e.g., if you’re booking classes on behalf of children other than your own), the person whose email information is on the account will ultimately be responsible for all activity.

Email Communication

By creating an account with Bilingual Birdies, you automatically opt in to receive email communications regarding Bilingual Birdies. Some of those emails may relate to Activities that you register for on Bilingual Birdies. Other emails may be promotional in nature. While you cannot opt-out of transactional emails—such as order confirmations and specific communication about your classes—if you book an Activity, you can opt-out of receiving our promotional emails by clicking an unsubscribe link found at the bottom of our promotional emails.

Passwords

You’re responsible for safeguarding the password that you use to access Bilingual Birdies and for any activities or actions under your password. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
Please contact your Provider directly to answer any questions you have about signing up for and registering an account with Bilingual Birdies.

No Agency Relationship

By creating an account with Bilingual Birdies, or using our Platform, you are not creating an agency, partnership, joint venture, employment, or franchisee relationship with our Company. You further acknowledge that by registering for an Activity through Bilingual Birdies, no confidential, fiduciary, contractually implied, or other relationship is created with us other than pursuant to these Terms.


Billing and Payment

Payment

By booking a class or activity on bilingualbirdies.com you are responsible for paying any and all applicable fees for the Activities, as indicated on Bilingual Birdies at the time of registration.

Refunds

Generally, our fees are nonrefundable. We may, at our discretion, provide a refund to customers under certain circumstances. Please contact your Provider directly for consideration. If refunded, we reserve the right to charge you a fee to cover the cost of any Activity you may have attended prior to cancellation. Any additional discounts or refunds that we may choose to provide are in our sole discretion and do not entitle you to any future discounts or refunds for similar instances in the future.

Price Changes

We reserve the right to adjust our prices at any time. If we ever need to change our prices, we will let you know either through Bilingual Birdies or email.


Third Party Services and Content

We often utilize links and other tools to connect users to third party services and websites, such as Providers, advertisers, special offers, classes, camps, or other events or Activities that are not owned or controlled by Bilingual Birdies (individually a “Third Party Service,” collectively the “Third Party Services”). We have no control over the content and policies of these Third Party Services, and in no event shall we be held responsible or liable for the accuracy, reliability, or currentness of any third party’s content or policies. Users who access or use Third Party Services through Bilingual Birdies are solely responsible for complying with the terms and policies of these third parties.
In no event shall a description or reference to a third party’s product or service (including, but not limited to, providing a description or reference via hyperlink) be construed as an endorsement of such third party products or services by us. We retain the exclusive right to add to, modify, or cancel the availability of any Third Party Service.


Protected Materials

It has taken a significant effort to build Bilingual Birdies and our Platform contains copyrighted material, trademarks, and other similar proprietary information provided by or through us, our employees, agents, licensors, or other Bilingual Birdies Parties (defined below) (collectively, “Proprietary Information”). Our Proprietary Information is protected by copyright law, registered and unregistered trademarks, database rights, and other intellectual property rights. Unless otherwise provided, we exclusively own all Proprietary Information and your use of Bilingual Birdies does not grant you any right, title, or interest in the Platform.


Your Use of Bilingual Birdies

Subject to your strict compliance with these Terms, we grant you a limited, personal, non-exclusive, revocable, non-assignable and non-transferable right and license to use the Bilingual Birdies Platform to view or register for Activities.
The above license is conditional upon your strict compliance with these Terms at any and all times during your use of Bilingual Birdies and the common sense ground rules outlined below.

Don’t Use Bilingual Birdies to Break the Law

You agree that you will not violate any laws when using Bilingual Birdies. This includes any local, provincial, state, federal, national, and international laws that may apply to you. Don’t commit fraud, theft, or any other crimes against Bilingual Birdies, a Provider, or any third-party.

Don’t Steal from Us

You agree not to “crawl,” “scrape,” or “spider” Bilingual Birdies or to reverse engineer or attempt to obtain our source code or data.

Don’t Try to Harm Our Systems

You agree not to distribute any virus or other harmful computer code through Bilingual Birdies, including viruses, Trojan horses, spyware, adware, malware, bots, time bombs, worms, or other harmful or malicious components, which or might overburden, impair or disrupt Bilingual Birdies or servers or networks forming part of, or connected to, Bilingual Birdies, or which does or might restrict or inhibit any other user's use and enjoyment of Bilingual Birdies.

Don’t Alter Legal Notices

You agree not to alter or remove, or attempt to alter or remove, any trademark, copyright or other proprietary or legal notices contained in, or appearing on, the Platform or any Content appearing on the Platform (other than your Content).

Respect our Trademark

The name “Bilingual Birdies” and other trademarks, service marks, phrases, logos and designs that we use in connection with our Platform are protected and you are not permitted to use them without our permission or unless otherwise indicated.


Termination

We may terminate or suspend your account and your access to Bilingual Birdies at any time, for any reason, without advance notice. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Platform. Bilingual Birdies may refuse to allow anyone to use the Platform, at any time, for any reason.
If we terminate your account, you must immediately stop using Bilingual Birdies and you agree not to attempt to regain access to our Platform without our express permission. Such termination will result in the suspension or deletion of your account and access to your account. In the event of termination of your account, the provisions of this Agreement shall remain in effect.
If you terminate your account, or if we terminate your account, you may lose any information associated with your account, including your Content.


Privacy Policy

This Privacy Policy describes the policies and procedures of Bilingual Birdies, LLC (“we,” “our,” or “us”) on the collection, use, and disclosure of your information on our website http://www.bilingualbirdies.com (the “Site”) and the services, features, content, applications, and products we offer (collectively, the “Platform” or “Bilingual Birdies”). We do our best to respect your privacy and maintain your trust. To that end, we wrote this Privacy Policy to help you understand how we collect, use, and disclose information in connection with your use of Bilingual Birdies.


How You Accept This Policy

By using Bilingual Birdies, creating a user account or booking or publishing a class (to the extent you’re a business) you agree to the use, disclosure, and procedures outlined in this Privacy Policy.


What Information Do We Collect?

The information we collect falls into two categories: “Personally Identifiable Information” and “Non-Personally Identifiable Information.” Personally Identifiable Information broadly includes data that could potentially identify you as an individual. Non-personally Identifiable Information covers information that cannot be used to identify who you are. This Privacy Policy covers both types of data and will tell you how we might collect or use each. We collect a limited amount of Personally Identifiable Information when you create an account with Bilingual Birdies, described further below. We also rely on several Third Party Services that also may ask for basic Personally Identifiable Information. We further collect a variety of Non-Personally Identifiable Information, including but not limited to: the date and time you access or use Bilingual Birdies; your IP address; the operating system and browser that you use; the website or online service that linked to, or referred you to, Bilingual Birdies; and other non-personally identifiable traffic data.


How We Collect Information

We collect information about you whenever you use Bilingual Birdies.

Booking a Class Through the Platform

If you’re a parent, guardian, or other individual who wants to book a class on Bilingual Birdies (a “Customer”), you’ll be required to create an account where we’ll ask that you provide various information, including some Personally Identifiable Information. For example, we may collect information, including your name, address, phone number, email, child’s name and birthday, and credit card information, as well as any other information you provide to us, in order to process the transaction. We may also collect this information for marketing or other business purposes. This information may be shared with third parties for the same purposes. We may also collect other Personally Identifiable Information at the request of the business you are transacting with.

Information We Automatically Collect

Like most online services, Bilingual Birdies automatically collects and stores Non-Personally Identifiable Information that your computer or mobile device provides to us in connection with your use of the Platform, such as: The type of computer or mobile device you use; Your device’s unique identifier; IP Address; MAC address; and Your device’s operating system and physical location (including geolocation, beacon based location, and GPS location).
We may also store usage data such as the date and time you access our servers, and what information and files have been downloaded to the application based on your device number.

Cookies, Web Beacons, and Local Storage

Bilingual Birdies may incorporate technology such as cookies, web beacons, pixel tags, and local storage to collect and store information.

Cookies

Cookies are small files that may be placed on your computer when you visit a website or online Service. For Bilingual Birdies, we use cookies to help identify and track usage of the Platform, and to make it easier to deliver a personalized experience. You can easily refuse our cookies by adjusting the preferences in your browser. However, be forewarned that disabling cookies may cause Bilingual Birdies to not operate properly.

Web Beacons

Web beacons are tiny graphic objects embedded in a web page or email, which allow us to check that a user has viewed a page on Bilingual Birdies or an email.
We may use web beacons alone or in conjunction with cookies to compile information about our Platform. Web beacons may be used within the Platform to track email open rates, web page visits, or form submissions. In some cases, we tie the information gathered by web beacons to Personally Identifiable Information. For example, we use clear gifs in our HTML-based emails to let us know which emails have been opened by recipients. This allows us to gauge the effectiveness of certain communications and the effectiveness of our marketing campaigns.

Flash and HTML5 Local Storage

We may use local shared objects, such as Flash cookies, or local storage objects, available using HTML5, to store information and preferences on your computer. Third Parties Services (defined below) may also provide certain features on our Platform to display advertising based upon your web browsing activity that also use Flash cookies or HTML5 to collect and store information.

Other Sources

In addition to the above ways we collect information, it is conceivable that we may receive information about you from other sources, such as public databases, strategic and joint marketing partners, social media platforms, people with whom you are friends or otherwise connected on social media platforms, as well as from other third parties. For example, if you elect to connect your social media account to your Bilingual Birdies account, certain information from your social media account may be shared with us, including information that’s part of your profile or your friends’ profiles.


How We Use the Information We Gather

We primarily use the information we collect and store to enhance Bilingual Birdies. Except if we sell all or a portion of our business, or as otherwise described below, we currently do not rent, trade, or sell your Personally Identifiable Information.

Our Use of Collected Information

We may use your Personally Identifiable Information:


To respond to your inquiries and fulfill your requests; To send administrative information to you (for example, information regarding our services and changes to our terms, conditions, and policies); To complete and fulfill your class purchase or registration (for example, to process your payments, communicate with you regarding your purchase, and provide you with related customer service); To send you marketing communications that we believe may be of interest to you, such as our newsletter; For other business purposes, such as data analysis, audits, fraud monitoring and prevention, developing new products and services, enhancing, improving or modifying our products and services, identifying usage trends, determining the effectiveness of our promotional campaigns, and operating and expanding our business activities.


We may also use Non-Personally Identifiable information that we collect or that is collected by Third Party Services to track and aggregate information to analyze trends, administer the site, track users’ movements around the Platform and to gather demographic information about our user base in the aggregate.

Disclosure of Personally Identifiable Information to Third Parties

We may disclose your Personally Identifiable Information:


To third-party service providers who provide services such as website hosting, data analysis, payment processing services, order fulfillment, information technology and related infrastructure provision, customer service, email delivery, credit card processing, auditing, and other similar services; To our Providers; To your friends associated with your social media account, to other website users, as well as to your social media account provider, in connection with your social sharing activity, such as if you connect your Facebook account to your Bilingual Birdies account; As required by law, including laws outside your country of residence, such as to comply with a subpoena, or similar legal process; When we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request including a request from authorities outside your country of residence; To protect our operations;


To protect our rights, privacy, safety or property, and/or that of you or others; and


To allow us to pursue available remedies or limit the damages that we may sustain.

Sale, Acquisition, or Change of Control

It’s conceivable that we may choose to buy or sell assets. In these types of transactions, customer information is typically one of the business assets that would be transferred. Also, if we (or our assets) are acquired, or if we go out of business, enter bankruptcy, or go through some other change of control, your Personally Identifiable Information could be one of the assets transferred to or acquired by a third party. By accepting this Privacy Policy, as outlined above, you consent to any such transfer.

Likewise, if you contact us via email or by some other means (either through our App or Site or through a Third Party Service), we may keep a record of your contact information and correspondence for later reference (to help improve Bilingual Birdies!).


Online Tracking and How We Respond To Do Not Track Signals

Online tracking is the collection of data about an individual’s Internet activity used to deliver targeted advertisements and for other purposes.

Do Not Track Signal

Some web browsers (including Safari, Internet Explorer, Firefox, and Chrome) incorporate a “Do Not Track” (DNT) or similar feature, which provides websites with a signal that a visitor does not want to have his/her online activity and behavior tracked. If an online service elects to respond to a particular DNT signal, the service may refrain from collecting certain personal information about the browser’s user. Not all browsers offer a DNT option and there is currently no industry consensus as to what constitutes a DNT signal. Advertising Networks

We may partner with third party ad network(s) and other service providers to show you relevant ads, including ads displayed on the Service and on other companies’ websites or apps, on any of your devices. These ad networks may use cookies and web beacons to collect Non-personally Identifiable Information about your activities on the Platform and other web sites and mobile apps to provide you targeted advertising based upon your interests. They may also use these technologies, along with activity information they collect, to recognize you across the devices you use, such as a mobile device and a laptop or other computer.
If you wish to not have this information used for the purpose of serving you targeted ads, you may opt-out. Data Retention

Even if you disable your account, or change your Personally Identifiable information, we may need to retain certain information for recordkeeping purposes or to complete any transactions that you began prior to requesting such change or deletion (e.g., when you make a purchase, you may not be able to change or delete the Personally Identifiable Information provided until after the completion of such purchase). There may also be residual information that will remain within our databases and other records, which will not be removed so that Bilingual Birdies will continue to function properly or because it would be burdensome to delete.
If you are a Customer of one of our Providers and would no longer like to be contacted by a Provider, or would like to access, correct, amend, or delete inaccurate Personally Identifiable Information held by a Provider, please contact the Provider that you interact with directly.

Data Security

The security of Personally Identifiable Information is a high priority for us. We maintain our Platform and all associated data with technical, administrative, and physical safeguards to protect against loss, unauthorized access, destruction, misuse, modification, and improper disclosure. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure.
